Short Cuts Terms and Conditions

1. Short Cuts ("the Project"), located at www.paramountcomedy.com ("the Website") is owned and operated by the Paramount UK Partnership, 180 Oxford Street, London, W1D 1DS (" Paramount").

2. By submitting material to Paramount and or accessing the Website you ("the Contributor") accept and agree to be bound by these Terms & Conditions and all others which may be found at http://www.paramountcomedy.com/terms/

USE OF THE WEBSITE

3. The Project provides a viewing portal for material owned, commissioned or under licence to Paramount (“Paramount Material”) and material which Paramount has selected from Contributor Materials submitted in accordance with these terms and conditions.

4. All copyrights and other rights in the Paramount Material and Contributor Material included in these web pages, including, but not limited to audio clips, video clips, text and images, are owned and controlled by Paramount or under licence to it. You may only download this material for your own personal, non-commercial use. You are not permitted to download, copy, broadcast, store, transmit, add to, create a derivative work, adapt or alter in any way the content of the web pages that are part of the Website, or any part of them, for any other purpose without the prior written permission of Paramount.

5. Paramount reserves the right to close the Project and/or the Website at any time without notice.

SUBMISSION OF MATERIAL

6. Contributors may submit material (“Contributor Material”) to be considered for inclusion within the Project by following the instructions on the Website.

7. All submissions by Contributors must be accompanied by the Contributor's full details (name, address and e-mail address). Contributors may be contacted by Paramount for further information prior to exhibiting the Contributor Material.

8. All Contributors must be at least 18 years of age and normally resident in the UK.

9. Paramount agrees to provide all Contributors of selected Contributor Material with an appropriate credit on the Website.

10. Paramount reserves the right to reject any Contributor Material for any reason at its absolute discretion.

11. Should Paramount wish to exhibit the Contributor Material on its television channels, it will contact the Contributor in order to seek further permissions prior to such exhibition.

JOINT CONTRIBUTORS

12. If more than one person has contributed to the Contributor Material (each a "Joint Contributor"), the Contributor warrants that he/she has obtained all permissions and/or rights necessary from the Joint Contributor(s) in order to (i) submit the Contributor Material to Paramount; and (ii) grant to Paramount those rights purported to be granted hereunder; and (iii) to identify the Joint Contributor(s) with the Contributor Material and for paramount to utilise the Joint Contributor(s) data in accordance with these Terms and Conditions.

13. If there are any Joint Contributors other than the Contributor, then the Contributor must indicate that this is the case by checking the appropriate tick box in the submission form. Paramount will then e-mail the Contributor requesting the names and addresses of all such Joint Contributors and the Contributor agrees to provide a complete and accurate response.

CONTRIBUTOR MATERIAL CONTENTS

14. If the Contributor Material contains any music, such music must be originally composed and may not be any pre-existing music composition (including, without limitation, commercially available music).

15. The Contributor Material must be the original work of the Contributor (along with any Joint Contributor(s), if applicable). Contributors must not copy or reproduce or otherwise infringe the rights of third parties.

16. The Contributor Material must not be unlawful or objectionable (including, without limitation, abusive, racist, defamatory, pornographic or obscene).

17. The Contributor Material must be submitted in one of the following file formats: mov, mpeg, mpg, swf, mp4, wmv, avi, ram

18. The Contributor Material should be of no more than three (3) of minutes.

19. In submitting the Contributor Material, the Contributor grants to Paramount the irrevocable non-exclusive royalty-free world-wide right in perpetuity:

(a) to post the Contributor Material on the internet on the Website so that individuals may view the Contributor Material (whether by downloading the Contributor Material or by utilising streaming technology); and

(b) to use extracts (including, without limitation, stills images) from the Contributor Material in any media in order to promote the Contributor Material, the Website and/or Paramount; and

(c) to edit and modify the Contributor Material; and

(d) to exercise all copyright and other rights with respect to the Contributor Material for purposes incidental to the exercising of those rights specified in sub-paragraphs (a), (b) and (c) (above).

20. All Contributors warrant, undertake, and agree as follows:

(a) they the sole owner or controller of the Contributor Material and have authority to grant to Paramount all rights granted or purported to be granted to Paramount under these Terms and Conditions; and

(b) the Contributor Material comprises only the relevant Contributor's (and Joint Contributors') own original work and no part of the Contributor Material is based on any pre-existing third party copyright material; and

(c) the Contributor Material is not obscene or defamatory, and neither the Contributor Material nor any use of it by Paramount as permitted hereunder is or will be in breach of any contract or any duty of confidentiality and does not and will not infringe the copyright or any other rights of any third party or is not and will not otherwise be unlawful; and

(d) Paramount will be under no liability to anyone appearing in the Contributor Material or other third parties rendering services in connection with the making, distribution or exploitation of the Contributor Material (including but not limited to, the payment of any and all royalties, participations, re-use fees, residual fees, re-run fees, or other payments of whatsoever nature to the entrants and/or any third parties for the privilege or right of exploiting or marketing the Contributor Material pursuant to the rights granted to Paramount). Paramount may require all relevant documentation to be submitted to it prior to the Contributor Material's exhibition; and

(e) the authors of any music contained within the Contributor Material are not members of the Performing Right Society or any similar society or organisation; and

(f) that they hereby unconditionally waive all rights in respect of the Contributor Material specified in Sections 77 to 85 of the Copyright Designs and Patents Act 1988 and all other moral and author's rights and rights of a similar nature under the laws of any other jurisdiction and have obtained similar waivers from any Joint Contributors.

21. The Contributor agrees that it will at all times indemnify and hold harmless Paramount against any losses, actions, proceedings, claims, damages, liabilities, costs and expenses (including, without limitation, reasonable legal fees) arising out of

(a) any claim arising out of any breach or alleged breach by the Contributor of any provision of these Terms and Conditions; and/or

(b) any claims or other causes of action arising out copyright and/or trademark infringement, invasion of privacy and/or any other personal property or moral rights resulting from Paramount's exercise of those rights granted by the Contributor hereunder.

22. Paramount shall be under no obligation to utilise any of the rights granted hereunder.

USE OF DATA

23. The Contributor's (and any Joint Contributors') data will be retained and processed by Paramount for the purposes of administering the Project and the Website for so long as is necessary.

24. The Contributor agrees that Paramount may publish the names of the Contributor and the Joint Contributor(s) (if any) in association with the Contributor Material.

25. The Contributor agrees that Paramount may use the Contributor Material and the names of the Contributor and the Joint Contributor(s) (if any) in order to promote the Contributor Material, the Website and/or Paramount.

MISCELLANEOUS

26. The submission of Contributor Material to the Website by Contributors is done so at their own risk and expense.

27. The Website, the Project and these Terms and Conditions shall be governed by the laws of England and shall be subject to the exclusive jurisdiction of the English courts.
